TERMS & CONDITIONS AGREEMENT

1. Acceptance of these Terms

These Terms & Conditions (“Terms”) govern access to and use of Renda & Toni (“Renda & Toni”, “the App”, “we”, “us” or “Midnight Sharp Studios”). By downloading, accessing, creating an account, continuing to use, or otherwise interacting with the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the App.

If you create an account, you represent that you have authority to enter into these Terms. Renda & Toni is intended for adults aged 18 or older. By using the App, you represent that you are at least 18 years old.

Where local law gives you mandatory consumer or privacy rights that cannot legally be waived, nothing in these Terms is intended to remove or restrict those rights.

3. About Renda & Toni

Renda & Toni is a grocery-list and price-comparison application designed to help users organize shopping lists, share lists with other users, and, where available and enabled, compare indicative prices from participating retailers.

The App is designed to help households plan and estimate grocery spending. It is not a retailer, supermarket, marketplace, payment processor, delivery company, financial institution, or agent of any retailer unless Midnight Sharp Studios expressly states otherwise for a specific service.

Features may be introduced progressively. These Terms are intentionally broad enough to cover current and planned functionality, including price comparison, sponsored retailer content, AI-assisted price research, online shopping or retailer offers, and other features described in the App.

4. Eligibility and geographic availability

Renda & Toni is intended for users aged 18 and older. The service may initially be made available in countries across the Americas, from Canada through South America, and may be expanded, restricted, suspended, or discontinued in particular jurisdictions at Midnight Sharp Studios’s discretion, subject to applicable law.

You are responsible for complying with the laws applicable to your use of the App in your location.

​

5. Accounts and authentication

Renda & Toni may allow registration and authentication using email/password, Google, or Apple, as well as use in Guest Mode.

​

• Email addresses are used as account identifiers and, under the current design, cannot be changed by the user within the App.

• Users may change their display name and avatar.

• Firebase Authentication manages passwords and authentication credentials; Midnight Sharp Studios does not have access to users’ passwords.

• Users must keep access credentials and devices reasonably secure and must not knowingly share credentials.

• Users are responsible for activity performed through their account unless caused by Midnight Sharp Studios’s failure to apply reasonable security measures.

• Password recovery is available through the supported authentication mechanism.

• Email verification may be required for account security and access to certain features.

 

Google and Apple authentication is subject to the respective provider’s terms and authentication systems.

 

6. Guest Mode

Renda & Toni may be used in Guest Mode without creating an account. Guest users may create, edit, delete, and share grocery lists subject to feature availability.

Certain features, including multi-retailer price comparison, require a registered account.

​

When a Guest user chooses to register or sign in, the App may offer to migrate existing Guest lists to the new authenticated account.

​

If the user chooses to migrate, eligible Guest lists are transferred to the authenticated account and cease to belong to the temporary Guest state. If the user declines migration, the App may permanently discard the Guest lists after the user confirms the warning. Users should not decline migration if they wish to preserve those lists.

​

Guest data is not guaranteed to survive device replacement, application-data deletion, operating-system cleanup, or other events that remove local Guest state unless the user has migrated the data to an authenticated account.

7. Grocery lists and ownership

Users may create lists containing grocery items and related supported content. Lists are synchronized for authenticated users so that the user can access them across supported devices.

The owner of a list controls ownership and sharing permissions, subject to the App’s functionality.

​

• The owner may share a list with other users.

• The owner may stop sharing a list.

• The owner may remove collaborators.

• A collaborator may leave a shared list.

• A collaborator may edit a shared list where permitted by the App.

• A collaborator may not delete the list on behalf of the owner unless the App expressly provides that permission.

• If the owner deletes the account, owner-controlled lists may be permanently deleted and consequently become unavailable to collaborators.

• List content is intended to consist of shopping items and supported product information, not sensitive personal information.

 

8. List sharing

When you use the App’s Share List function, the operating system may display its standard sharing interface, allowing you to select services such as WhatsApp, messaging, email, or social platforms.

The shared invitation link is intended to grant access only to the specific list and permissions associated with that invitation.

​

A collaborator may see the owner’s display name and avatar when those are part of the shared-list experience. Collaborators are not intended to receive the owner’s email address or unrelated personal information through the App.

You are responsible for choosing appropriate recipients when sharing a list or invitation link. Do not share a list containing information you do not have permission to disclose.

9. Free and Premium features

Renda & Toni may offer free and paid functionality.

​

Free functionality may include creating, editing, deleting, and sharing grocery lists and accessing price information for a selected retailer where available.

​

Premium functionality may include multi-retailer price comparison, allowing the user to select retailers and compare indicative prices for items on the user’s list.

​

The exact features, price, billing period, taxes, availability, and limitations of a subscription will be presented through the App Store or Google Play purchase interface applicable to your device.

​

10. Subscriptions and billing

Consumer subscriptions are intended to be purchased through Apple In-App Purchase and/or Google Play Billing, as applicable. Midnight Sharp Studios does not need to receive or store your complete payment-card credentials for these purchases.

​

Subscriptions may renew automatically unless cancelled in accordance with the applicable platform’s subscription-management rules.

​

You are responsible for reviewing the subscription price, renewal period, applicable taxes, renewal conditions, and cancellation options before completing a purchase.

​

Cancellation generally prevents future renewal but does not necessarily create an immediate refund or terminate access before the end of a paid billing period, except where required by applicable law or the applicable platform’s rules.

Refunds, payment disputes, platform billing issues, and platform-specific subscription management may be governed by Apple or Google policies and procedures.

​

Midnight Sharp Studios may change premium pricing for future billing periods, subject to applicable law and platform requirements.

​

11. Retailer / supermarket commercial services

Retailers and supermarkets may separately enter into commercial, promotional, advertising, or sponsorship arrangements with Midnight Sharp Studios.

​

These arrangements are B2B services and are not consumer purchases made through Renda & Toni.

​

A retailer may contact Midnight Sharp Studios directly for enrollment, configuration, promotional placement, sponsored visibility, or other commercial services. Retailers cannot purchase or contract these services directly through the consumer App unless Midnight Sharp Studios expressly introduces such functionality.

​

Retailer sponsorship does not automatically mean that the retailer receives information about users. Unless expressly disclosed and legally permitted, Renda & Toni does not provide retailers with users’ personal information merely because a retailer sponsors content.

​

12. Sponsored content

Renda & Toni may display sponsored retailer content, including banners or short promotional spots, particularly within the price-comparison experience.

​

Sponsored content may inform users about promotions or encourage users to add or consider a retailer where a promotion is available.

​

Sponsored placement is commercial content and does not constitute a guarantee, endorsement, recommendation, or representation that the retailer’s products, services, prices, availability, quality, delivery, or promotion are suitable for the user.

​

Midnight Sharp Studios may measure aggregate campaign performance, such as the number of times a sponsored campaign is displayed or accessed. Retailers do not receive user personal information solely because their campaign is displayed or accessed, unless separately disclosed and legally permitted.

​

Future versions may allow users to purchase eligible products online through retailer relationships. Such transactions may be subject to additional terms presented at the time of purchase and may be fulfilled by the applicable retailer or third-party service provider.

13. Price information and Price Vault

Renda & Toni may collect, process, normalize, validate, cache, and present publicly available retailer price information through an internal Price Vault.

​

The intended process may include: public retailer source → automated or AI-assisted extraction → validation/normalization → Price Vault → Renda & Toni.

​

Renda & Toni is intended to rely on publicly available information from retailers that maintain accessible websites or other eligible public sources. Renda & Toni does not represent that it obtains prices from every retailer or every sales channel.

​

The App may not consult third-party marketplaces or unrelated platforms merely because a retailer’s products are listed there, unless the relevant source is expressly incorporated into the service.

​

Price records may include retailer, product, brand, description, size, unit, price, currency, source reference, verification time, applicable region or retailer context, expiration/staleness information, confidence or validation state, and acquisition method, subject to implementation.

​

Price information may be refreshed periodically rather than queried live for every user. The App may update relevant price information when the user opens or uses the applicable comparison functionality.

​

Where technically and economically appropriate, Renda & Toni may use caching and aggregation rather than performing an individual AI or web query for every user.

​

14. Price accuracy disclaimer

Prices are provided for informational and comparison purposes and may vary from the price actually charged by the retailer.

​

A price displayed by Renda & Toni is not a binding offer, quotation, reservation, or guarantee that the retailer will sell the product at that price.

​

Prices may change because of retailer updates, promotions, stock conditions, location, taxes, membership programs, timing, data-extraction errors, website changes, currency changes, technical limitations, or other factors.

​

The retailer is solely responsible for the price it actually charges, the availability of its products, the terms of its promotions, and the fulfillment of any purchase.

​

If a retailer publishes an erroneous price, promotion, product description, or other information, Renda & Toni is not responsible for honoring that erroneous information and does not guarantee refunds, reimbursements, price adjustments, or compensation arising from the retailer’s error.

​

Users must verify the final price, availability, terms, and conditions directly with the retailer before purchasing.

Nothing in this section is intended to exclude liability that cannot legally be excluded.

​

15. Geographic relevance and search radius

Where location-based functionality is enabled, Renda & Toni may use the user’s current location to identify or prioritize nearby eligible retailers.

​

The service is designed to use current location for relevance rather than maintaining a history of where the user has been.

​

Users may adjust the distance or search radius used to identify relevant retailers.

​

Retailer pricing may be standardized nationally or regionally even when the retailer has many physical locations. Renda & Toni does not guarantee that proximity implies a different local price.

​

The availability and accuracy of nearby-retailer results depend on the quality of available public information and the retailer’s online presence.

​

16. Offline and synchronization functionality

Renda & Toni may provide persistent/offline functionality allowing users to access, create, modify, and organize lists without an active internet connection.

​

Certain functions require connectivity, including sharing invitations, synchronization, retrieving updated price information, authentication operations, and other network-dependent services.

​

For authenticated users, lists are synchronized to the account when connectivity permits. Synchronization may be delayed or temporarily unavailable due to network conditions, device limitations, service interruptions, or other technical circumstances.

​

17. Artificial intelligence and automated processing

Renda & Toni may use automated systems, machine learning, artificial intelligence, or other automated technologies to research, extract, classify, normalize, validate, compare, or otherwise process publicly available retailer information.

AI systems may be supplied by one or more third-party technology providers. Midnight Sharp Studios may change providers, models, or technical architecture as the service evolves.

​

AI-generated or AI-assisted results are subject to error and are not guaranteed to be complete, accurate, current, or suitable for a particular purpose.

​

AI systems are not authorized to make binding purchases, financial commitments, or representations on behalf of users or retailers unless a future feature expressly provides otherwise.

​

Midnight Sharp Studios may use automated safeguards, validation, caching, confidence scoring, human review, or other controls to improve the reliability of automated price information.

​

18. User-generated content and permitted use

Users retain their rights in content they lawfully upload or create, subject to the rights necessary for Midnight Sharp Studios to operate the App.

​

By submitting content to Renda & Toni, you grant Midnight Sharp Studios a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, display, and technically transform that content solely as reasonably necessary to provide, secure, maintain, improve, and operate the relevant App functionality.

​

You represent that you have the rights necessary to submit content and that your content does not violate applicable law or third-party rights.

​

19. Prohibited conduct

• Using the App for unlawful, fraudulent, abusive, deceptive, or malicious purposes.

• Attempting to access another user’s account, list, personal information, credentials, or data without authorization.

• Attempting to bypass authentication, authorization, subscription controls, rate limits, App Check, or other security mechanisms.

• Reverse engineering, decompiling, disassembling, or attempting to derive source code except to the extent such restriction is prohibited by applicable law.

• Introducing malware, malicious code, automated attacks, scraping systems, or other harmful mechanisms.

• Using automated requests in a manner that imposes unreasonable load or costs on Renda & Toni, Firebase, retailers, AI providers, or other infrastructure.

• Using price information to perpetrate fraud or misrepresent a retailer’s actual prices.

• Uploading content that infringes intellectual-property, privacy, publicity, or other rights.

• Using the App to collect or expose another person’s personal information without authorization.

• Attempting to manipulate sponsored campaigns, price rankings, comparison results, subscriptions, or usage metrics.

• Using the App to make decisions where an inaccurate grocery price could create a safety, medical, legal, or other high-stakes consequence.

 

20. Intellectual property

The Renda & Toni name, branding, software, interfaces, designs, databases, workflows, documentation, logos, graphics, and other materials owned or licensed by Midnight Sharp Studios are protected by applicable intellectual-property laws.

​

Subject to these Terms, Midnight Sharp Studios grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App for its intended personal or authorized business purposes.

​

No ownership rights are transferred to you by downloading or using the App.

​

Retailer names, logos, trademarks, product names, images, and other third-party materials remain the property of their respective owners.

​

21. Third-party services and links

The App may rely on third-party services, including authentication providers, cloud infrastructure, analytics, crash reporting, messaging, app-store billing platforms, AI providers, and retailer websites.

​

Third-party services are governed by their own terms and policies. Midnight Sharp Studios is not responsible for the independent acts, omissions, availability, policies, or security practices of third parties except to the extent required by applicable law.

​

Links or references to retailer websites do not constitute an endorsement or guarantee by Midnight Sharp Studios.

 

22. Availability and changes to the service

Midnight Sharp Studios may modify, update, suspend, restrict, or discontinue features or portions of Renda & Toni, including free and premium functionality, subject to applicable law and any contractual obligations.

​

Features may vary by country, platform, operating-system version, retailer, account type, subscription status, or technical availability.

​

The App may occasionally be unavailable due to maintenance, updates, infrastructure failures, internet outages, third-party failures, cybersecurity incidents, or circumstances beyond Midnight Sharp Studios’s reasonable control.

​

23. Account suspension and termination

Midnight Sharp Studios may suspend or terminate an account or restrict access where reasonably necessary to prevent fraud, abuse, security threats, unlawful activity, material violations of these Terms, or harm to users, retailers, service providers, or the App.

​

Where appropriate and legally permitted, Midnight Sharp Studios may provide notice and an opportunity to remedy a violation.

​

A user may stop using the App at any time and may request account deletion through the supported deletion mechanism.

​

Deletion of an account is intended to permanently remove the user’s account and associated application data as described in the Privacy Policy. Deleted accounts cannot be recovered.

​

24. Privacy

The collection and use of personal information are governed by the Renda & Toni Privacy Policy. The Privacy Policy forms part of these Terms by reference.

​

The Privacy Policy describes, among other things, account data, device and technical information, location, media permissions, Firebase services, sharing, deletion, retention, backups, privacy rights, and applicable privacy frameworks.

​

25. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RENDA & TONI IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

​

MIDNIGHT SHARP STUDIOS DOES NOT WARRANT THAT THE APP, PRICE INFORMATION, RETAILER INFORMATION, AI-ASSISTED RESULTS, SPONSORED CONTENT, OR OTHER CONTENT WILL ALWAYS BE ACCURATE, COMPLETE, CURRENT, AVAILABLE, ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR A PARTICULAR PURPOSE.

​

MIDNIGHT SHARP STUDIOS DOES NOT CONTROL RETAILER PRICES, INVENTORY, PROMOTIONS, PRODUCT QUALITY, DELIVERY, RETURNS, REFUNDS, OR CUSTOMER SERVICE.

​

Nothing in these Terms excludes or limits warranties, guarantees, remedies, or liabilities that cannot lawfully be excluded or limited in the user’s jurisdiction.

​

26. Limitation of liability

To the maximum extent permitted by applicable law, Midnight Sharp Studios will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from use of or inability to use the App, including losses resulting from inaccurate retailer information, price changes, retailer errors, unavailable products, failed promotions, third-party outages, or reliance on comparison information.

​

Where applicable law permits a limitation of aggregate liability, Midnight Sharp Studios’s aggregate liability arising from the App will be limited to the amount the user paid to Midnight Sharp Studios for the relevant Renda & Toni service during the twelve months preceding the event giving rise to the claim.

​

This limitation does not apply to liabilities that cannot legally be limited or excluded under applicable law.

​

27. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Midnight Sharp Studios, its officers, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and reasonable expenses arising from your unlawful use of the App, your violation of these Terms, your infringement of third-party rights, or content you submit to the App.

This section does not apply where prohibited or restricted by mandatory consumer law.

​

28. Consumer protection

Nothing in these Terms is intended to deprive consumers of mandatory rights under applicable law. Where a local law provides mandatory protections, those protections apply notwithstanding any conflicting provision of these Terms.

​

29. Governing law and jurisdiction

These Terms are issued by Midnight Sharp Studios, a company organized under the laws of Colombia.

​

Except where mandatory local law requires otherwise, the Terms and the relationship between you and Midnight Sharp Studios will be governed by the laws of Colombia, without regard to conflict-of-law principles.

​

Where mandatory law gives a consumer the right to bring proceedings in another jurisdiction, nothing in this section prevents the exercise of that right.

​

30. Changes to these Terms

Midnight Sharp Studios may update these Terms to reflect changes in the App, law, security practices, business arrangements, or functionality.

​

For material changes, Midnight Sharp Studios may provide notice through the App, website, email, or another reasonable method where required by law.

​

The “Last Updated” date will identify the current version. Continued use of the App after an effective update constitutes acceptance to the extent permitted by law.

​

31. Electronic communications and notices

By using Renda & Toni, you agree that Midnight Sharp Studios may communicate with you electronically regarding account security, authentication, password recovery, service changes, transactions, subscriptions, and other operational matters.

​

Marketing communications will be handled in accordance with applicable law and the choices available to users.

 

32. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect to the extent permitted by law.

 

33. Entire agreement

These Terms, together with the Privacy Policy and any additional terms expressly presented for particular features or transactions, constitute the agreement governing your use of Renda & Toni, except where applicable law requires otherwise.

 

34. Language

Renda & Toni may make these Terms available in English and Spanish. Where multiple language versions are published, Midnight Sharp Studios will identify the applicable version where required by law. Users should review the version applicable to their jurisdiction.

Acceptance of Terms

By using the Renda & Toni Application, site or any other related web services, you are hereby accepting the terms and conditions stipulated within the Terms & Conditions Agreement. If you are not in agreement with our terms and conditions, then you should refrain from further use of our app, site and other services. In addition, your continued use of our app and website following the posting of any updates or changes to our terms and conditions shall mean that you agree and acceptance of such changes.
