SUBSCRIPTION TERMS AGREEMENT

1. About Renda & Toni

Renda & Toni is a consumer application designed to help users organize grocery shopping, manage grocery lists, share lists, and, where available, compare indicative product prices among participating retailers.

​

The App may provide free functionality as well as paid functionality.

​

The availability of particular features may vary depending on the user's country or region, device and operating system, retailer availability, available price information, technical availability, subscription status, product development stage, and other operational or legal considerations.

2. Paid Subscription

Renda & Toni may offer a paid subscription that provides access to premium features within the App.

​

The premium subscription may include, depending on the plan offered at the time of purchase:

• comparison of products or items across multiple participating retailers;

• access to price-comparison functionality for supermarkets selected by the user;

• additional comparison capabilities;

• access to premium features introduced by Midnight Sharp Studios in the future; and

• other functionality expressly identified as included with the applicable subscription.

 

The precise features included in a subscription will be displayed to the user before purchase.

 

3. Free Features

Certain Renda & Toni functionality remains available without a paid subscription.

 

Depending on the version of the App, free functionality may include:

• creating grocery lists;

• editing grocery lists;

• deleting grocery lists;

• managing grocery items;

• sharing lists;

• collaborating on shared lists;

• accessing prices from an individual selected retailer where such functionality is available; and

• using Guest Mode.

 

The exact features available without a subscription may change as the App develops.

 

4. Subscription Plans and Pricing

Subscription plans, prices, billing periods, introductory offers, discounts, and other commercial terms will be displayed in the applicable App Store or Google Play purchase interface before the purchase is completed.

 

The price shown at the time of purchase is the price applicable to that transaction, subject to applicable taxes and the policies of the applicable app store.

 

Prices may vary by country, currency, applicable taxes, promotional offers, introductory pricing, exchange rates, platform, and other circumstances permitted by applicable law.

 

5. Automatic Renewal

Unless otherwise stated at the time of purchase, Renda & Toni subscriptions are automatically renewing subscriptions.

 

Your subscription will automatically renew at the end of each billing period unless you cancel it before the applicable renewal date.

 

The applicable app store may charge your selected payment method for the renewal according to its applicable billing procedures.

 

By purchasing an automatically renewing subscription, you authorize the applicable app-store provider to process recurring subscription charges according to the subscription terms presented to you at the time of enrollment.

 

6. Payment Processing

Consumer Renda & Toni subscriptions are purchased through the applicable official platform:

• Apple App Store / Apple In-App Purchase; or

• Google Play / Google Play Billing.

 

Midnight Sharp Studios does not directly collect or store your credit-card number, debit-card number, bank-account credentials, or other payment credentials used by Apple or Google to process the subscription.

 

Payment information is handled by the applicable platform under its own terms, policies, security controls, and privacy practices.

 

Midnight Sharp Studios may receive limited transaction or subscription information necessary to determine whether your Renda & Toni account has an active entitlement.

 

7. Subscription Entitlement

Access to premium features is based on the applicable subscription entitlement.

 

Where technically supported, the subscription entitlement is associated with the user's Renda & Toni account so that eligible premium functionality can be restored across supported devices when the user signs into the same account.

 

The user is responsible for maintaining access to the account associated with the subscription.

 

8. Guest Users

Guest Mode may be used without creating a Renda & Toni account.

 

However, premium multi-retailer comparison functionality may require the user to create or sign into a Renda & Toni account.

 

When a Guest user enters the account-registration or login flow, Renda & Toni may offer the user the option to migrate eligible Guest lists to the newly authenticated account.

 

If the user chooses to migrate the lists, the eligible lists may become associated with the authenticated account.

 

If the user expressly declines migration and confirms the applicable warning, Guest data may be permanently lost and may not be recoverable.

 

Guest data is not automatically guaranteed to be recoverable across devices.

 

9. Restore Purchases

Where supported by the applicable platform, users may restore an existing subscription purchased through Apple or Google.

 

To restore an eligible subscription, the user may need to:

1. use the same applicable Apple or Google account used for the purchase;

2. sign into the corresponding Renda & Toni account; and

3. use the App's available restoration functionality.

 

Restoration is subject to the records and policies of the applicable platform.

 

Midnight Sharp Studios cannot guarantee restoration where Apple, Google, or the relevant payment platform does not recognize or authorize the transaction.

 

10. Cancellation

You may cancel an automatically renewing subscription at any time.

 

Cancellation prevents future automatic renewal but generally does not immediately terminate access to premium features for the already-paid billing period, unless otherwise required by applicable law or determined by the applicable platform.

 

Because Apple and Google process consumer subscriptions, cancellation should generally be performed through the subscription-management functionality provided by the applicable platform.

 

Deleting the App from your device does not necessarily cancel your subscription.

 

Similarly, logging out of Renda & Toni does not necessarily cancel your subscription.

 

You must separately cancel the subscription through the applicable platform if you do not want it to renew.

 

11. Subscription Management

Depending on the platform and operating system, subscription management may include viewing the current subscription, viewing renewal information, changing plans, cancelling renewal, restoring purchases, and reviewing applicable billing information.

 

Subscription management is subject to the current functionality and policies of Apple and Google.

 

12. Free Trials and Promotional Offers

Midnight Sharp Studios may occasionally offer free trials, introductory pricing, promotional pricing, discounts, special subscription offers, or other promotional arrangements.

 

If an offer is presented, the specific conditions applicable to that offer will be displayed before the user completes the transaction.

 

Unless otherwise stated, a free trial or promotional period that converts into a paid subscription will automatically renew according to the subscription terms displayed at the time of enrollment.

 

Eligibility for promotional offers may be limited.

 

13. Changes to Subscription Prices

Midnight Sharp Studios may change subscription prices from time to time.

 

Where applicable law or platform rules require advance notice or user consent, such notice or consent will be provided through the applicable process.

 

A price change will not retroactively alter a completed transaction.

 

For automatically renewing subscriptions, any applicable new price will be communicated in accordance with applicable law and the requirements of Apple, Google, or other applicable platform providers.

 

14. Taxes

Applicable taxes, including sales taxes, value-added taxes, digital-service taxes, or similar charges, may be included in or added to the subscription price depending on the user's jurisdiction and the applicable platform.

 

Tax collection and remittance may be performed by Apple, Google, or another applicable payment provider where required.

 

15. Refunds

Subscription purchases may be subject to the refund policies of the platform through which the purchase was made.

Because consumer subscriptions are processed through Apple or Google, requests for refunds may need to be submitted through the applicable platform.

 

Midnight Sharp Studios does not guarantee that a refund will be granted.

 

Refund eligibility is determined according to applicable law, the applicable platform's policies, and the circumstances of the transaction.

 

Nothing in these Subscription Terms limits any mandatory refund or consumer rights that apply under applicable law.

 

16. No Direct Consumer Payment Outside the App

Renda & Toni does not require users to provide payment-card or banking information directly to Midnight Sharp Studios to purchase the consumer subscription.

 

Consumer premium subscriptions are intended to be purchased through the applicable in-app purchasing system provided by Apple or Google.

 

Midnight Sharp Studios will not knowingly require users to bypass Apple or Google billing systems for the purpose of obtaining the consumer subscription where platform rules require the use of those systems.

 

17. Retailer and Supermarket Services Are Different

Renda & Toni may offer commercial services to supermarkets, retailers, brands, or other businesses.

These services are not consumer subscriptions.

 

A supermarket or other commercial entity may separately contract with Midnight Sharp Studios for promotional placement, sponsored content, promotional campaigns, retailer-specific functionality, participation in Renda & Toni's commercial ecosystem, or other B2B services.

 

Such arrangements are negotiated directly between the commercial entity and Midnight Sharp Studios.

A supermarket does not purchase these services through the consumer subscription system of Renda & Toni.

 

18. Sponsored Promotions Are Not Included in the Consumer Subscription

A consumer's subscription does not purchase, guarantee, or entitle the user to discounts from a particular supermarket, promotional pricing, retailer coupons, delivery services, purchases from a retailer, guaranteed availability of a retailer, or any particular sponsored promotion.

 

Retailers may independently purchase promotional placement or other commercial services from Midnight Sharp Studios.

 

19. Price Comparison Does Not Constitute a Purchase

A subscription gives access to comparison functionality. It does not constitute an order, purchase, reservation, offer to sell, price guarantee, contract with a retailer, or commitment by any retailer to honor a displayed price.

 

Prices displayed by Renda & Toni are provided for informational and comparison purposes.

 

The actual price charged by a retailer may differ.

 

20. Price Information and Subscription Functionality

Renda & Toni may obtain price information from publicly available retailer sources and process that information through automated systems.

 

Price information may be stored in a structured price repository or “Price Vault” and may not necessarily represent a real-time query of the retailer's website at the exact moment the user views the price.

 

Prices are provided for informational and comparison purposes and may vary from the price actually charged by the retailer.

 

A retailer may correct, change, remove, update, or otherwise modify a price at any time.

 

Renda & Toni does not guarantee that a retailer will honor a price displayed by the App.

 

21. Retailer Errors

If a retailer publishes an incorrect price, promotional condition, product description, availability status, or other information, the retailer is responsible for the information it publishes and for determining the price and terms applicable to a transaction.

 

Renda & Toni is not the seller of the retailer's products and does not guarantee that the retailer will honor information displayed by the App.

 

Requests for price adjustments, refunds, returns, compensation, fulfillment of promotions, or correction of a retailer transaction must be directed to the applicable retailer where the transaction was made.

 

Nothing in these Subscription Terms removes rights that cannot legally be excluded under applicable law.

 

22. Subscription Does Not Guarantee Retailer Availability

The availability of price comparison functionality depends on participating or otherwise supported retailers and on the availability of suitable public pricing information.

 

Midnight Sharp Studios may add, remove, suspend, or modify supported retailers.

 

The number of retailers available for comparison may vary by geographic area, search radius, retailer website availability, product availability, technical availability, data quality, and other factors.

 

Purchasing a subscription does not guarantee that a particular supermarket will always be available for comparison.

 

23. Search Radius and Location

Where Renda & Toni uses location information to identify potentially relevant retailers, the App may use the user's current location and a user-selected search radius.

 

The purpose is to identify retailers that may reasonably be relevant to the user's current location.

Renda & Toni is not intended to create a historical record of the user's movements merely because location functionality is enabled.

 

Location functionality remains subject to the Renda & Toni Privacy Policy and applicable device permissions.

 

24. Offline Functionality

Certain Renda & Toni functionality may remain available when the device does not have an active internet connection.

Users may be able to create, modify, or manage existing grocery lists while offline.

 

Some functionality requires connectivity, including certain synchronization, sharing, account, subscription, retailer, or price-comparison functions.

 

Offline availability does not mean that information is necessarily current.

 

Cached price information should not be interpreted as a guarantee that the retailer's current price is identical.

 

25. Changes to Premium Features

Midnight Sharp Studios may periodically improve or modify the App. This may include adding features, improving existing features, changing user interfaces, improving price comparison, changing technical infrastructure, changing supported retailers, modifying the manner in which price information is obtained, or discontinuing features.

 

Where a change materially reduces the core value of a paid subscription, Midnight Sharp Studios will comply with applicable legal requirements regarding notice, cancellation, refunds, or other remedies.

 

26. Temporary Unavailability

Premium functionality may occasionally become temporarily unavailable due to maintenance, software updates, infrastructure failures, third-party service outages, Apple or Google service interruptions, retailer website changes, cybersecurity incidents, telecommunications failures, force majeure events, or circumstances outside Midnight Sharp Studios's reasonable control.

 

Midnight Sharp Studios will make reasonable efforts to restore affected services where appropriate.

 

27. Suspension or Termination

Midnight Sharp Studios may suspend or terminate access to premium functionality where reasonably necessary to comply with law, comply with an order from a competent authority, prevent fraud or abuse, protect the security of users or the App, address a security incident, address misuse of the service, enforce the Terms & Conditions, or protect the integrity of the Renda & Toni platform.

 

Where required by applicable law, users will receive appropriate notice or remedy.

 

28. Account Deletion and Subscription

A user may delete their Renda & Toni account using the account-deletion functionality provided by the App.

Account deletion may permanently delete the user's Renda & Toni account, lists, associated content, and other data as described in the Privacy Policy.

 

Deleting a Renda & Toni account does not necessarily cancel an Apple or Google subscription.

 

Users should separately verify and cancel their subscription through the applicable platform's subscription-management system.

 

29. Subscription Abuse and Fraud

Users may not circumvent subscription controls, manipulate entitlement information, reverse-engineer billing mechanisms for unauthorized access, share credentials for the purpose of circumventing subscription restrictions, use fraudulent payment methods, exploit technical vulnerabilities to obtain premium functionality without authorization, or otherwise attempt to obtain paid functionality without valid entitlement.

 

Midnight Sharp Studios may suspend access to premium functionality where there is reasonable evidence of fraud, abuse, or unauthorized access, subject to applicable law.

 

30. No Transfer of Subscription

Unless expressly supported by Apple, Google, or applicable platform functionality, subscriptions are intended for the individual account that purchased or is legitimately entitled to use them.

 

Users may not sell, rent, sublicense, or commercially transfer their Renda & Toni subscription.

 

31. Account Security

Users are responsible for maintaining the security of their Renda & Toni account and the credentials used to access it.

Midnight Sharp Studios will not request a user's password through unsolicited communications.

 

Where authentication is handled through Apple, Google, or Firebase Authentication, the applicable authentication provider's security mechanisms and policies also apply.

 

32. Privacy

Subscription-related personal information is processed in accordance with the Renda & Toni Privacy Policy.

Midnight Sharp Studios does not require direct access to a user's payment-card credentials to provide the consumer subscription.

 

Apple and Google may process transaction information independently according to their respective privacy policies and terms.

 

33. No Sale of Personal Information

Midnight Sharp Studios does not sell users' personal information in connection with Renda & Toni subscriptions.

 

Subscription functionality is designed to provide the user with access to paid features rather than to monetize the user's personal information.

 

34. Geographic Availability

Renda & Toni may initially be made available in countries and territories across the Americas, including North America, Central America, South America, and the Caribbean, subject to technical, legal, regulatory, platform, and commercial availability.

 

Subscription availability may differ by jurisdiction.

 

Nothing in these Subscription Terms represents that Renda & Toni is available or lawful in every jurisdiction.

 

35. Consumer Rights

Nothing in these Subscription Terms is intended to exclude, restrict, or waive any consumer right, refund right, cancellation right, statutory warranty, or other protection that cannot legally be excluded or limited under the laws applicable to you.

 

Where mandatory local law provides greater protection than these Subscription Terms, the mandatory local law will apply to the extent required.

 

36. Relationship With the Terms & Conditions

These Subscription Terms supplement the general Renda & Toni Terms & Conditions.

 

If there is a conflict between these Subscription Terms and the general Terms & Conditions concerning the specific subject of subscriptions, these Subscription Terms will govern that subject to the extent of the conflict.

 

The Privacy Policy governs the collection and processing of personal information.

 

37. Changes to These Subscription Terms

Midnight Sharp Studios may update these Subscription Terms from time to time.

 

Changes may be made to reflect changes to the App, subscription functionality, payment platforms, applicable law, business operations, security improvements, or other legitimate operational requirements.

 

The updated version will be published through the applicable legal-information channel.

 

Where applicable law requires additional notice or consent, Midnight Sharp Studios will provide it.

 

38. Governing Law and Dispute Resolution

These Subscription Terms are subject to the governing-law and dispute-resolution provisions contained in the Renda & Toni Terms & Conditions, except where mandatory law in the user's jurisdiction provides otherwise.

 

Nothing in this section is intended to deprive a consumer of mandatory rights available under the laws of the jurisdiction in which the consumer resides.

Acceptance of Terms

By purchasing, activating, restoring, or using a Renda & Toni paid subscription, you acknowledge that you have read and agree to these Subscription Terms, the Renda & Toni Terms & Conditions, and the Renda & Toni Privacy Policy.

If you do not agree with these terms, do not purchase or use the paid subscription features.
